This website and its Software-as-a-Service platform (collectively the “Service”) are operated by Set Sail Venture Limited (“Chatalog,” “we,” “us,” or “our”). The Service enables businesses to build and deploy AI agents for use on social media messaging channels. By accessing or using the Service, you agree to be bound by these Terms and Conditions (“Terms of Service” or “Terms”), including all additional terms, conditions, and policies referenced herein or available by hyperlink.

These Terms apply to all users of the Service, including without limitation businesses, developers, and other individuals who access or use the Service. If you do not agree to these Terms, you may not use the Service.

We reserve the right to update or modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.

2. Definitions

• “User”: Any business entity that registers for an account on the Platform.
• “Platform”: The SaaS solution provided by [Company Name] for building and deploying AI Agents.
• “AI Agent”: An artificial intelligence-based agent created using the Platform.
• “Social Media Messaging Channels”: Third-party platforms where AI Agents are deployed, such as Facebook Messenger or WhatsApp.
• “End-User”: Individuals interacting with AI Agents created by Users on Social Media Messaging Channels.

3. Acceptance of Terms

By registering an account or using the Platform, you accept these T&C. This acceptance may occur by clicking an “I Agree” checkbox during registration or by accessing the Platform.

4. Account Registration

By registering an account, you represent that:

• You are a business entity or an individual at least the age of majority in your jurisdiction.
• You must provide accurate, current, and complete information during registration and keep it updated.
• Your use of the Service complies with all applicable laws, including those governing AI technologies, data protection, and social media platforms.
• You will not use the Service for any illegal or unauthorized purpose, including violating any laws in your jurisdiction.
• You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
• Notify us immediately at we-are@setsailventure.com of any unauthorized use of your account.

A breach of these Terms may result in immediate termination of your access to the Service.

5. Service Description

• The Platform provides tools and services for Users to design, configure, and deploy AI Agents for business purposes on Social Media Messaging Channels.
• We reserve the right to modify, update, or discontinue the Platform (or any part thereof) at our discretion, with or without notice.
• The information provided through the Service is for general informational purposes only. We do not warrant its accuracy, completeness, or timeliness. You agree that it is your responsibility to monitor changes to the Service.

We reserve the right to refuse service to anyone for any reason at any time. You agree not to reproduce, duplicate, copy, sell, or exploit any portion of the Service without our express written permission.

6. User Obligations

You agree to:

  • Generate harmful, biased, or illegal AI content.
  • Violate social media platform policies.
  • Misuse AI agents for unsolicited messaging.
  • Infringe intellectual property or privacy rights.
  • Interfere with the security or functionality of the Service.
• Use the Platform solely for lawful business purposes.
• Comply with all applicable laws, regulations, and third-party terms (e.g., policies of Social Media Messaging Channels).
• Not reverse engineer, decompile, or attempt unauthorized access to the Platform’s systems.
• Ensure your AI Agents’ interactions with End-Users comply with data protection laws and obtain necessary consents.
• Use AI agents ethically, avoiding applications that promote harm, bias, or discrimination. AI agents must comply with social media platform policies and all applicable laws.
• Represent and warrant that your use of the Service complies with all applicable laws, including those related to AI technologies, data protection (e.g., GDPR, CCPA), and social media platform policies (e.g., Facebook Messenger terms). You are responsible for obtaining any necessary consents from end-users.

7. Payment and Subscription

• Access to the Platform requires a subscription. Fees are detailed during registration or on our pricing page and may be monthly, annual, or tiered based on usage.
• You must pay all fees via the provided payment methods. Fees are non-refundable except as required by law.
• Prices for our SaaS subscriptions are subject to change without notice. We may modify or discontinue the Service (or any part thereof), including updates to AI features or integrations, at any time without notice. We are not liable for any modification, price change, suspension, or discontinuance of the Service.
• Non-payment may result in suspension or termination of your access.

8. Intellectual Property

• Our Ownership: We own all rights, title, and interest in the Platform, including its software, technology, and documentation.
• Your Ownership: You own your AI Agents and any data or content you input into the Platform.
• License: You grant us a non-exclusive, worldwide, royalty-free license to use, host, and process your AI Agents and data to provide and improve the Platform.
• Restrictions: You may not copy, modify, or distribute the Platform without our written consent.

9. Data Usage

• You are responsible for data collected or processed by your AI Agents, including compliance with privacy laws.
• Your submission of personal information, including data used to train or operate AI agents, is governed by our Privacy Policy.
• We may use aggregated, anonymized data from your use of the Platform to improve our services.

10. Limitation of Liability

• We do not warrant that the Service will be uninterrupted, secure, or error-free, or that AI agents will perform flawlessly or produce accurate outputs. Your use of the Service is at your sole risk. To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages (e.g., loss of profits or data) arising from your use of the Platform.
• Our total liability is limited to the fees you paid us in the 12 months preceding any claim.

11. Indemnification

You agree to indemnify and hold us, our affiliates, and employees harmless from claims, damages, or losses (including legal fees) arising from your use of the Platform, your AI Agents, or your breach of these T&C.

12. Termination

• By You: You may terminate your account anytime via the Platform’s instructions.
• By Us: We may suspend or terminate your account for violating these T&C, non-payment, or at our discretion, with or without notice.
• Upon termination, your access ceases, but your obligations under these Terms will survive.

13. Governing Law

These T&C are governed by the laws of Hong Kong. Disputes will be resolved through binding arbitration in Hong Kong under the rules of the Hong Kong International Arbitration Centre, unless prohibited by law.

14. Changes to T&C

We may update these T&C by posting changes on the Platform or notifying you via email. Continued use after changes constitutes acceptance.
